NetConsulate Software Private Limited provides AI software development services including but not limited to:

  • Large language model (LLM) integration and conversational AI development

  • MLOps infrastructure and AI cloud deployment
  • Android on-device AI development
  • Responsible AI and compliance consulting

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written agreement between NetConsulate and the client. These Terms of Service govern general use of our Website and initial engagement processes only.

3. Use of the website

You agree to use our Website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Website. You must not:

  • Use the Website in any way that violates applicable local, national, or international laws or regulations

Information you share with us through our proposal form or during preliminary discussions about a potential project will be treated as confidential. We will not disclose such information to third parties except as required to evaluate your enquiry or as required by law.

For formal client engagements, confidentiality obligations are governed by a separate Non-Disclosure Agreement (NDA) or the confidentiality provisions within the project agreement.

6. Proposal requests and enquiries

Submitting a proposal request or contact form on our Website does not constitute a binding contract or commitment by either party. Proposal requests are expressions of interest only.

Any proposal, quote, or scope document provided by NetConsulate in response to your enquiry is an offer, not a binding contract. A binding engagement only exists upon execution of a written project agreement signed by authorised representatives of both parties.

7. Client engagements

All professional services provided by NetConsulate are governed by a separate written agreement which will include:

  • Project scope and deliverables
  • Timeline and milestones
  • Fees and payment schedule
  • Intellectual property ownership and licensing
  • Acceptance criteria and change management process
  • Warranty and support terms
  • Termination conditions

In the event of any conflict between these Terms of Service and a signed project agreement, the project agreement shall prevail.

8. Payment terms

Payment terms for specific engagements are defined in the applicable project agreement. Unless otherwise agreed in writing:

  • Invoices are due within 30 days of the invoice date
  • Late payments may attract interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower
  • NetConsulate reserves the right to suspend work on any engagement where invoices remain unpaid beyond the agreed payment terms
  • All fees are exclusive of applicable taxes unless stated otherwise

9. Limitation of liability

To the fullest extent permitted by applicable law, NetConsulate Software Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of our Website or services.

Our total liability to you for any claims arising out of or relating to our Website or services shall not exceed the total fees paid by you to NetConsulate in the three months preceding the event giving rise to the claim.

10. Warranties and disclaimers

Our Website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any part of the Website at any time without notice.

11. Indemnification

You agree to defend, indemnify, and hold harmless NetConsulate Software Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our Website, your violation of these Terms, or your violation of any third-party rights.
